These Terms of Service (“Terms”) govern your access to and use of Membership.Coach, including our website, courses, training materials, memberships, live calls, digital products, communities, and other services we may offer (collectively, the “Services”).

Membership.Coach is operated by Castle Mountain Limited, a Delaware Limited Partnership (“Membership.Coach,” “we,” “us,” or “our”).

By creating an account, purchasing a product or membership, accessing our courses, or otherwise using the Services, you agree to these Terms.

If you do not agree with these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use paid Membership.Coach Services.

By using the Services, you represent that the information you provide to us is accurate and that you are authorized to use any payment method you provide.

2. Membership.Coach Services

Membership.Coach provides education and training related to membership sites, online courses, marketing, sales, customer retention, business operations, technology, and related topics.

Depending on the product or membership you purchase, your access may include:

• Online courses and lessons
• Videos and downloadable materials
• Templates, prompts, worksheets, and other resources
• Membership portals
• Live group calls or Mastermind sessions
• Call recordings
• Community or group access
• Email or SMS reminders
• Additional training or resources added from time to time

Different products and membership levels may provide different access. The specific features included with your purchase are those described on the applicable sales, order, or checkout page.

3. Free and Paid Accounts

Membership.Coach may offer both free and paid accounts.

A free account may provide access to only selected courses, lessons, resources, or features. Creating a free account does not provide access to paid courses, premium programs, Mastermind calls, or other paid Services unless expressly stated.

We may change the content or features included with free accounts at any time.

4. Purchases and Payment

Prices, billing frequency, and applicable payment terms will be displayed before you complete your purchase.

By purchasing a product or membership, you authorize Membership.Coach and our payment service providers to charge the payment method you provide for the amount shown at checkout, including applicable recurring charges.

You are responsible for keeping your billing and payment information current.

We use third-party payment processors to process payments. Membership.Coach does not generally receive or store your complete payment card number.

5. Subscriptions and Automatic Renewal

Some Membership.Coach products are sold as recurring subscriptions.

If you purchase a recurring subscription, your subscription will automatically renew at the billing frequency disclosed at checkout unless you cancel it before the next renewal.

By purchasing a recurring subscription, you authorize us and our payment service providers to automatically charge your payment method for each renewal.

Your renewal price will be the price disclosed for your subscription unless we notify you of a change as permitted by applicable law.

Where required by law, we will provide applicable notices concerning upcoming renewals, changes in renewal terms, or cancellation options.

6. Trials and Promotional Offers

From time to time, Membership.Coach may offer trials, introductory pricing, promotional pricing, or other special offers.

The specific terms of each offer will be disclosed when you sign up or purchase.

If an offer automatically converts to a paid subscription after a trial or promotional period, your payment method will be charged according to the terms disclosed when you enrolled unless you cancel before the applicable deadline.

Where required by law, we will provide notice before a trial converts to a paid subscription.

Eligibility for promotional offers may be limited, and we may restrict repeated use of introductory offers.

7. Cancellation

You may cancel a recurring Membership.Coach subscription at any time by using any cancellation option provided with your account or by contacting support@membership.coach.

Cancellation stops future renewals.

Unless otherwise stated for a particular offer, canceling a subscription does not immediately remove access that has already been paid for. You will generally retain access through the end of your current paid billing period.

After the paid period ends, access to the applicable courses, membership areas, live calls, recordings, communities, or other paid benefits may be removed.

8. 30-Day Money-Back Guarantee

Unless a particular offer states otherwise, the initial purchase of a paid Membership.Coach product or membership is covered by a 30-day money-back guarantee.

To request a refund, contact support@membership.coach within 30 calendar days of your original purchase date.

Approved refunds will generally be returned to the original payment method.

The 30-day guarantee applies to the original purchase and does not restart with each subscription renewal.

Recurring renewal charges are non-refundable except where required by applicable law or where a specific offer expressly provides otherwise.

If you believe you were charged in error, contact us at support@membership.coach and we will review the charge.

9. Failed Payments

If a subscription payment fails, we or our payment processor may attempt to process the payment again.

We may contact you by email or SMS regarding the failed payment and provide instructions for updating your payment information.

If payment remains outstanding, Membership.Coach may suspend or terminate access to paid Services.

Restoring access may require payment of the outstanding amount.

10. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for activity performed through your account.

Unless expressly permitted by Membership.Coach, accounts and paid course access are intended for the individual or organization that purchased them and may not be shared, resold, transferred, or made available to unauthorized third parties.

Please contact us promptly if you believe someone has gained unauthorized access to your account.

11. Intellectual Property

Unless otherwise stated, all Membership.Coach content is owned by or licensed to Membership.Coach and is protected by copyright, trademark, and other intellectual property laws.

This includes, without limitation:

• Videos
• Course lessons
• Written training materials
• Frameworks
• Graphics
• Templates
• Worksheets
• AI prompts and prompt collections
• Downloads
• Live-call recordings
• Website content and design
• Branding and logos

Your purchase gives you a limited, personal, non-exclusive, non-transferable right to access and use the applicable materials for your own personal or internal business purposes.

You may apply the concepts and strategies you learn through Membership.Coach to your own business.

However, without our written permission, you may not:

• Reproduce or republish our courses or materials
• Sell or sublicense our materials
• Share paid course access with others
• Upload our content to another training or membership platform
• Publicly distribute course or call recordings
• Redistribute downloadable materials
• Use our materials to create a substantially similar competing course or training product
• Remove copyright or proprietary notices
• Make Membership.Coach materials publicly available through AI systems, file-sharing systems, databases, or other repositories

12. Live Calls and Recordings

Certain Membership.Coach programs may include live group calls, Mastermind calls, coaching sessions, webinars, or similar events.

These sessions may be recorded and made available to other authorized members of the applicable program.

When a session is being recorded, participants will be provided appropriate notice.

By participating after receiving notice that a session is being recorded, you understand that your name, voice, video, chat messages, comments, questions, or other contributions may appear in the recording.

If you do not want your image or voice included, you may use available privacy options such as keeping your camera off and participating through chat where appropriate.

Membership.Coach will not intentionally use your personal contribution as a public testimonial or advertisement without appropriate permission.

13. Member Conduct

You agree not to use Membership.Coach to:

• Violate any law or regulation
• Infringe another person's rights
• Harass, threaten, or abuse another participant
• Attempt to gain unauthorized access to our systems or another user's account
• Upload malware or harmful code
• Scrape or systematically extract our course content
• Distribute spam
• Misrepresent your identity
• Share confidential information belonging to another person without authorization
• Disrupt live calls, communities, courses, or other Services
• Circumvent access restrictions or security controls

We may suspend or terminate access for conduct that violates these Terms or materially disrupts Membership.Coach or other members.

14. Community and User Content

Where Membership.Coach allows members to post comments, questions, files, messages, or other material, you retain ownership of your original content.

You grant Membership.Coach a limited, non-exclusive license to host, store, display, reproduce, and process that content as reasonably necessary to operate the applicable Service.

Do not post confidential, proprietary, sensitive, or personal information that you do not have permission to share.

You are responsible for content you submit.

15. Educational Information; No Guarantee of Results

Membership.Coach provides educational information and training.

Our content is not legal, accounting, tax, financial, investment, medical, or other regulated professional advice.

Business results vary significantly based on factors including your market, offer, pricing, experience, implementation, audience, advertising, technology, competition, and business decisions.

We do not guarantee that participating in Membership.Coach will result in any particular:

• Revenue
• Profit
• Membership growth
• Lead volume
• Conversion rate
• Customer retention
• Business performance
• Financial or professional outcome

Examples, demonstrations, testimonials, case studies, and discussions of results achieved by other members or businesses are provided for educational purposes and should not be interpreted as promises that you will achieve the same or similar results.

You remain responsible for your own business decisions and results.

16. Third-Party Services

Membership.Coach may rely on or integrate with third-party platforms and services, including services used for:

• Course and membership hosting
• Customer relationship management
• Payment processing
• Email and SMS communication
• Video hosting
• Video conferencing
• Website hosting
• Analytics
• Advertising
• Automation

These may include platforms such as HighLevel, Zoom, Vimeo, payment processors, analytics providers, and other third-party services.

Your use of third-party services may also be governed by those providers' own terms and privacy policies.

Membership.Coach is not responsible for outages, changes, discontinuation, security incidents, or other actions of third-party platforms that are outside our reasonable control.

17. Availability and Changes to the Services

We work to keep Membership.Coach available and useful, but we do not guarantee uninterrupted or error-free access.

Courses and training programs may evolve over time.

We may update, replace, reorganize, add, or remove materials or features in order to improve the Services or for technical, security, operational, or legal reasons.

We may also temporarily suspend access for maintenance.

If we make a material change that substantially affects an active paid subscription, we will provide notice where appropriate or required.

18. Suspension and Termination

We may suspend or terminate your access if:

• You materially violate these Terms
• Your account has an unpaid balance
• You engage in fraud or abuse
• You improperly share or redistribute Membership.Coach content
• Your activity threatens the security or operation of the Services
• You materially disrupt other members or live events
• We are required to do so by law

Termination for a material violation may result in immediate loss of access.

Provisions that by their nature should survive termination, including intellectual property provisions, disclaimers, limitations of liability, and dispute provisions, will remain in effect.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Membership.Coach and the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the Services will always be available, uninterrupted, error-free, completely secure, or suitable for every business or purpose.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Castle Mountain Limited, Membership.Coach, and their owners, partners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Services, including lost revenue, lost profits, lost business opportunities, or loss of data.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to a particular paid Service will not exceed the amount you paid to Membership.Coach for that Service during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability. Where those laws apply, this provision will apply only to the maximum extent legally permitted.

21. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Castle Mountain Limited, Membership.Coach, and their owners, partners, officers, employees, contractors, and affiliates from claims, damages, liabilities, and reasonable expenses resulting from:

• Your unlawful use of the Services
• Your material violation of these Terms
• Your infringement of another person's rights
• Content you submit through the Services
• Your misuse or unauthorized distribution of Membership.Coach materials

22. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the “Last Updated” date.

Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law principles, except where applicable consumer protection law requires otherwise.

To the extent legally permitted, any dispute arising from or relating to these Terms or the Services will be brought in a court of competent jurisdiction located in Utah County, Utah.

Nothing in this section limits any rights that applicable consumer law does not permit you to waive.

24. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

25. Entire Agreement

These Terms, together with our Privacy Policy and any applicable checkout terms or offer-specific conditions, constitute the agreement between you and Membership.Coach concerning the Services.

If an offer-specific term directly conflicts with these general Terms, the offer-specific term will control for that particular purchase.
